Delta’s legal pros give back to hometown nonprofits

Delta’s top-tier legal professionals are sharing their skills with nonprofits across Atlanta, deepening our relationships with our hometown community by providing pro bono legal assistance to help those who need it most.

One of the Delta Law Department’s most significant and long-running relationships is with Pro Bono Partnership of Atlanta, which connects volunteer attorneys with Georgia nonprofits needing legal services. Through its volunteer network, PBPA’s nonprofit clients are stronger and better able to serve the underserved and disadvantaged. Since opening its doors in 2005, PBPA has provided legal services to over 1,000 nonprofit clients based primarily in the metro Atlanta area.

“One of the most important things we can do as legal professionals is to provide pro bono work in the communities where we live, work and serve,” said Alan Rosselot, Associate General Counsel for Delta and Chairman of the Board at PBPA. “With many nonprofits on shoestring budgets, we’re humbled to be able to make a meaningful impact by meeting them where they are, serving them in the ways they need most and enable them to carry out their mission.”

PBPA’s nonprofit clients run the gamut from helping with the educational needs of underserved children to assisting those struggling to enter the workforce. Volunteers from Delta’s legal team and elsewhere undergo a two-hour training session, then help organizations identify their needs and work on them throughout the year. These needs can include everything including corporate governance, tax exempt status, employment, intellectual property and more.

PBPA recently hosted an in-person “legal checkup” for the first time since the pandemic began. Delta lawyers joined lawyers from Truist and law firm Kilpatrick Townsend & Stockton to assess the needs of several nonprofits and develop plans to assist throughout the year.

“Like any small business, our clients have legal issues they need help with,” said Rachel Spears, Executive Director of PBPA. “These are people who are passionate about their mission, but they’re not lawyers.” That’s where PBPA comes in, she said: “How can we identify those legal issues before they become problems?”

Those issues can include liability releases, employee handbooks, board policies, worker classification and trademark registration.

“To the extent we can take that off them and help them get that straightened out, it’s a huge relief,” Rachel said.

Delta’s relationship with PBPA began in 2005, with the airline being named its Legal Department of the Year in 2014. Over the past six years, Delta volunteers have handled more than 100 legal matters for PBPA clients.

Delta legal professionals also volunteer directly with other organizations in the metro area, such as the Georgia Justice Project, Georgia Immigration and Asylum Network, Atlanta Volunteers Lawyers Foundation, and Georgia Lawyers for the Arts.

Client Profile: Cool Girls, Inc.

Cool Girls Event Prior to Pandemic

Founded by Dawn Smith in 1989 in response to the desperate plight of young girls living in the East Lake Meadows housing community, Cool Girls works to develop girls into confident women through education and exposure to a broad world of opportunities. Having served over 5000 girls in its 32 years of existence, Cool Girls has empowered these young girls to overcome obstacles in their way of becoming successful women.

According to Executive Director Tanya Egins, the goal of Cool Girls is to work with girls living in low–income areas to achieve academic success and build confidence to break cycles of poverty. She underscores the importance of creating a support system for the girls throughout their formative years. In light of this, all participants have an opportunity to be in the Cool Girls program from the time they are seven years old until they graduate from college.

Cool Girls aims to achieve its goals through three core programs, Cool Girls Club, Cool Scholars and Cool Sisters. As their flagship initiative, the Cool Girls Club is a weekly after-school program for girls in 2nd to 8th grade. The program focuses on providing the girls social and emotional learning emphasizing communication, healthy relationships, conflict resolution, STEM and nutrition. Highschool girls participate in Cool Scholars, concentrating on college prep and college tours. The aim of the program is to increase their self-esteem and expose them to varied cultural opportunities that would otherwise be unavailable.

Once
participants have been with the program for a year, they are then matched with a mentor through the Cool Sisters program. This program offers one-on-one mentoring and has matched over 1,000 Cool Girls with caring adult role models. These role models serve as positive influences in the lives of the girls and reinforce the program’s principles. These unique relationships provide motivation, inspiration, and life-long friendships for the young girls. The mentor becomes a person with whom they can share their troubles, receive advice and career guidance.

Cool Girls has been a client of Pro Bono Partnership of Atlanta for over a decade. The organization has worked with many different PBPA volunteer attorneys including Destiny Washington (Ford Harrison), Jake Harris (King & Spalding), Ivor Longo (Coca-Cola Refreshments), Bob Nance (Insight Global), Kier Prince (Emory University) and Don Prather (Meunier Carlin & Curfman). Tanya Egins, Executive Director of Cool Girls believes “Pro Bono Partnership of Atlanta is so valuable to small organizations like Cool Girls. “The workplace skills the volunteers provide are necessary for us to achieve the scale, sustainability and program delivery to the girls we serve and our community.” PBPA is privileged to support Cool Girls’ incredible and passionate work for the community.

Client Profile: Paint Love

In the midst of the global pandemic, many client-facing organizations have struggled to maintain client engagement without in-person programming. Paint Love, however, has creatively adapted to new challenges and used the online shift to expand the reach of their work to empower kids through art.

Paint Love is an Atlanta-based nonprofit that partners with local artists, Title I schools, and other organizations to develop artist-led projects for kids facing trauma and poverty. These children may not otherwise have access to different forms of art. Since 2014, Paint Love has served over 10,000 youth with their projects that are specially formulated by trauma-informed standards. Artist partners have donated their skills in dozens of art forms including metalsmithing, jewelry design, glassblowing, sculpture, mural painting, graphic design, photography and more. In addition to visual arts, Paint Love recognizes the importance of all art forms and has also incorporated yoga, spoken word, slam poetry and writing into their programming.

Paint Love activities prior to pandemic

Laura Shaw, Executive Director of Paint Love, emphasizes the importance of promoting art as a method of healthy expression and as a coping strategy. According to her, “COVID-19 has increased the demand for stress-informed care because the pandemic has thrust a lot of kids, even those in stable homes, into some level of uncertainty.” Paint Love has adapted with the changing environment and has begun to offer resources on their website which can be downloaded at home. Besides art project guides with instructions for different at-home projects, Paint Love also offers resources to help caregivers in promoting healthy expression through art. “We’ve had a unique opportunity to focus on a different growth path and to expand our reach to help people use art to cope with the stress of the pandemic,” Laura states, noting that Paint Love recently developed a curriculum based on the work of Black artists which was downloaded in fifteen states and five different countries.

In-person painting projects prior to pandemic

Paint Love has been a client of Pro Bono Partnership of Atlanta since 2014 and worked with volunteer attorneys including Ryan Schneider of Troutman Pepper LLP, Ashley Heggi of Seyfarth Shaw LLP, Ted Solley of Moser Law Co. Gaylon Hollis of Ballard Spahr, Eric Reynolds of Jones Day,  Joe Freeman of  Cox Enterprises and Candace Rodriguez of Home Depot, have helped Paint Love navigate a wide variety of legal questions. “We’re very thankful for the partnership. So many weird things come up running a nonprofit and it’s been such an asset to be able to draw from the knowledge and connections at Pro Bono Partnership of Atlanta” Laura adds. For more information on the resources Paint Love provides, visit gopaintlove.org.

Client Profile: YWCA of Greater Atlanta

Eliminate racism, empower women, and promote peace, justice, freedom and dignity for all. That is the mission of YWCA of Greater Atlanta, which works to eliminate racism and empower women through three pillars: education and empowerment, advocacy and social justice, and health and safety.

According to CEO Sharmen Gowens, the goal of YWCA of Greater Atlanta is to help people find their common humanity. She wants their work towards racial justice to be accessible within the Atlanta community and emphasizes that the organization can be a resource for both individuals and corporations in navigating the waters of combating racism.

Through its Conversations program, YWCA of Greater Atlanta focuses on the intersection of race and gender by engaging participants in small-group discussions that illuminate the challenges faced in moving towards a more equitable community. These Conversations are meant to break down the barriers in discussing topics of race and allow participants to learn from those who have lived much different lives. Robyn Miller of Pro Bono Partnership of Atlanta has personally experienced the eye-opening conversations. By interacting with women from different walks of life and hearing personal accounts of racism, Robyn says, “I learned so much more than I ever expected through that one lunch conversation about race.”

YWCA of Greater Atlanta emphasizes the importance of education and empowerment for young women through several programs including Teen Girls in Technology and its Early Learning Academy. Their work to eliminate barriers to health services for women in need includes the EncorePlus program which provides nearly 200 free mammograms a year. And the signature program of their advocacy work is The Georgia Women’s Policy Institute which has the goal of improving the lives of women and girls in Georgia.

YWCA of Greater Atlanta has been a client of Pro Bono Partnership of Atlanta for over a decade and has worked with many different PBPA volunteer attorneys including Meredith Shaughnessy, Gregg Jacobson of King & Spalding, David Golden of Troutman Sanders, and Hannah Loo of Kilpatrick Townsend. Ms. Gowens describes the relationship as an asset and a gift. PBPA is proud help make possible YWCA of Greater Atlanta’s work towards making Atlanta a more equitable community.

A Small Army of Pro Bono Volunteers Find a New Home for Hosea Feed The Homeless

In the winter of 2016-2017, Hosea Feed the Hungry and Homeless had one big problem. It was dangerously close to losing its building and, with it, its entire metro Atlanta operation.

Civil rights activist Reverend Hosea L. Williams Sr. founded Hosea Feed the Hungry in 1971 with the goal of serving Atlanta’s homeless population. After his death in 2004, his daughter Elizabeth Omilami took over the organization as CEO. In addition to providing food and other necessities to impoverished families, Hosea puts on holiday dinners, offers haircuts, helps individuals navigate overdue rent and utility payments, and invests in urban agriculture programs. The group has served over half a million individuals, and has expanded its outreach to include other vulnerable populations, including elderly individuals and isolated rural communities.

PBPA Tax Counsel, Robyn Miller with Mr. & Mrs. Omilami

For almost 20 years Hosea has directly served the community from the same location on Donnelly Avenue. In June of 2012, Hosea first met with Robyn Miller, Corporate/Tax Counsel for Pro Bono Partnership of Atlanta (PBPA) to discuss potentially purchasing its building. Adam Balthrop, a real estate attorney at Arnall Golden Gregory, offered pro bono assistance on the deal through PBPA. After some initial due diligence, the building purchase was put on hold. Then, in August of 2015, the building purchase was on again. Soon after, PBPA assembled an entire team of pro bono lawyers, contractors, and professionals set about making this purchase a reality. The team included Balthrop, Joe Scibilia and Robert Shaw from Kilpatrick Townsend & Stockton, and Jeff Margolin and Robert Patchett from Ramboll Environ. However, as the deal and due diligence progressed it became clear that this opportunity did not meet Hosea’s long term needs and the organization decided to begin a search for a new location.

In the winter of 2016-2017, Ruby Howard, CFO of Hosea, contacted Robyn to discuss a startling development. The Donnelly Avenue building had been bought out, and Hosea had three months to move out or face paying an exorbitant $8,000 a month in rent. Without a building to operate in, Hosea could not provide services and, since its current source of funding required the organization to be actively providing services to receive funds, Hosea would lose all of its funding. As a result, Hosea either needed to find a new place, or potentially close its doors for good.

Hosea Feeds the Hungry & the Homeless’ new home

With renewed focus, most of the PBPA pro bono team from the previous purchase agreement reassembled to tackle the problem once more. Additional assistance came from Jones Day real estate attorneys An Tran and Michael Lee, and real estate broker James Pitts from Kellogg Partners. The team negotiated with the Donnelly building’s landlord for a few extra months at the current rent while Hosea looked for a suitable new spot. After a bit of searching, the group successfully located and negotiated a contract to purchase a building on Forrest Hills Drive which would provide Hosea with plenty of space and easy access to its client community. In addition, the team convinced Citizens Trust Bank to commit to favorable loan terms and to work expeditiously to get the due diligence accomplished. Ramboll Environ agreed to provide environmental due diligence and brought in Herman Kitt of SBC Construction Services to complete the asbestos analysis, with both companies only charging for out-of-pocket expenses. However, the organization quickly needed more funding in order to be able to close the deal. In a tremendous show of faith and heart, Atlanta’s Mayor Kasim Reed met this need by pledging $200,000 from the City of Atlanta to help Hosea close on the new property, and carrying forward a previously committed grant of an additional $180,000 to help Hosea renovate its new building in the fall. This legal matter required over 258 hours of volunteer service, valued at $90,000 in legal fees.

Through the tremendous effort and teamwork of all parties involved, including Michael Lee and An Tran at Jones Day and Joe Scibilia and Robert Shaw at Kilpatrick Townsend, who provided their services for free through Pro Bono Partnership of Atlanta, Hosea Feed the Hungry, and the countless individuals it serves, will have a place to call home for years to come.

The Impact of Pro Bono Partnership of Atlanta

Testimony from Andy Schneggenburger

The Atlanta Housing Association of Neighborhood-based Developers (AHAND) has been very fortunate to have maintained a strong working relationship with the Pro Bono Partnership of Atlanta. AHAND is a dues-paying membership association of non-profit community development corporations and affordable housing developers working to revitalize Atlanta and metro area neighborhoods.

AHAND’s program areas include education and advocacy on policy issues impacting our members and their work, and capacity-building to continuously help our members do what they do better. Both of these program areas benefit significantly from the Pro Bono Partnership’s services, particularly the workshop series of our capacity-building program. While the menu of outstanding workshops already provided by the Pro Bono Partnership for non-profit organizations already benefits AHAND and our member organizations, AHAND has also worked with Rachel and her staff to implement a series of workshops over the last few years targeted specifically for our member organizations and issues directly related to community development. These quarterly seminars have always been of the highest quality, and we look forward to continuing this service to our members.

The Pro Bono Partnership has also been an invaluable legal resource for AHAND directly. Recent assistance has included the drafting of a fiscal sponsorship agreement, and other guidance relating to AHAND organizational management. Having access to the knowledge and expertise that the Pro Bono Partnership provides either directly or indirectly is truly irreplaceable.

While the content quality of these services has always been top-notch, the responsiveness, accessibility and professional attention to detail of Pro Bono Partnership staff has likewise been of the highest quality. The Pro Bono Partnership is a resource for the non-profit community in Atlanta that has been a joy and a relief to work with. The importance and value of the services it provides cannot be overstated. AHAND would like to sincerely thank all those who make the Pro Bono Partnership possible.

Testimony from Rick D. McMurtry

I am so proud of my involvement with Pro Bono Partnership of Atlanta. I first heard about PBP-Atl in 2006, and since then I’ve had the chance to work with many different non-profit and charitable organizations, which has not only fulfilled my interest in helping others but also given me a chance to expand my work beyond the normal routine and exposure to new professional experiences. Prior to working with PBP-Atl, my philanthropic efforts were pretty much limited to writing checks and non-legal volunteer efforts. PBP-Atl’s focus on in-house attorneys and providing us with resources to take on pro bono projects, such as breaking matters up into discrete projects or pairing in-house attorneys with law firms, allowed me to resume working on pro bono matters.

My first client with PBP-Atl was the Enchanted Closet, a non-profit organization that helps to outfit high school girls from low-income families with clothing for special events and professional experiences, such as prom dresses or business suits. As great a cause as this is, I honestly picked the project because it sounded like a good test case for dipping my toes back into the pro bono world, i.e., one that would not take too much of my time. Not only did I find that the project did not take too much time, but I was so gratified by the experience and the appreciation of my client that I decided to take on more projects. After that first project years ago, I’ve volunteered to work with organizations that benefit the blind, senior citizens, abused and neglected children, refugees, environmental housing, and other good and worthy causes that I’m so honored to have had a small hand in helping out.

Many of my colleagues at Turner Broadcasting System now also volunteer with PBP-Atl. In fact, Turner was honored as PBP-Atl’s Corporation of the Year in 2006 thanks to the many volunteers from Turner, including both attorneys and other legal professionals. All of our volunteers have benefited from exposure to new practices areas and additional responsibility that they may not otherwise receive. One example included the opportunity for two of my paralegals and a legal assistant to help me prepare and deliver a presentation to small and minority-owned businesses through Goodwill Industries. That opportunity not only helped all of us hone our public speaking skills, but also gave my colleagues a chance to show off their knowledge and dig a little deeper into issues that they don’t deal with every day. I am thankful to PBP-Atl for its part in helping to revitalize the pro bono spirit in me and many of my colleagues at Turner.

Rick D. McMurtry
Assistant General Counsel
Turner Broadcasting System, Inc.

Testimony from Marvin Bryant

The Atlanta Micro Fund (www.atlantamicrofund.com) is a nonprofit organization that provides small business micro loans and business management coaching to low and moderate income entrepreneurs throughout metropolitan Atlanta. The AMF is a U.S. Small Business Administration micro loan intermediary and certified community development financial institution (CDFI).

The relationship between Pro Bono Partnership of Atlanta and the AMF began during November 2005 when the AMF sought assistance with separating from its parent organization. Over the past four years, Pro Bono Atlanta has assisted the AMF with finding legal counsel to: 1.) review its loan documentation to insure that those documents do not violate any state or federal laws; 2.) develop a privacy policy for its website; and 3.) develop volunteer and client agreements.

Pro Bono Partnership of Atlanta is extremely valuable to nonprofits that do not possess the resources to hire quality legal counsel. Having this agency supporting us allows me to rest a little more peacefully at night.

Marvin Bryant
Executive Director
